Feel Good Fashion - Feel Good Fashion Terms & Conditions

2. Application. I understand that by signing and submitting a Consultant Application to Feel Good Fashion, along with the applicable fee, I am requesting approval from Feel Good Fashion to be a Feel Good Fashion (FGF) "Personal Stylist". I understand that I am only able to be a FGF Stylist if once Feel Good Fashion accepts my application.

3. Stylist Kit. I understand that the Stylist Kit ("Kit") I purchase will include FGF clothing items (approx. 30-40 items), Order Forms, Master copies, Hostess Packet, Stylist Packet, Portfolio and the FGF Consultant Manual. I agree to read the Statement of Policies and the Compensation Plan found in the Stylist Manual as soon as I receive my Kit, and to review them from time to time thereafter. I understand I will be required to purchase FGF clothing items twice per year for fashion updates each season.

4. Right to Cancel Application. I UNDERSTAND I HAVE SEVEN (7) DAYS FROM DELIVERY OF MY KIT TO CANCEL MY APPLICATION AND RETURN THE KIT FOR A REFUND ON ANY UNUSED ITEMS.

5. Stylist Agreement. I understand that I am entering into a Consultant Agreement, and will be obligated to comply with these Terms & Conditions, the Statement of Policies and the Compensation Plan, as amended from time to time, and that in return, Feel Good Fashion will allow me to be a FGF Consultant and will pay me any commissions I earn under the Compensation Plan.

6. Annual Renewal. I understand that my Consultant Agreement will expire automatically on the annual renewal date stated each year by Feel Good Fashion (the "Renewal Date"). My failure to submit a Renewal Application, along with the applicable Renewal Fee, before the Renewal Date will be deemed a voluntary cancellation of my Stylist Agreement. I further understand that Feel Good Fashion may, in its sole discretion, choose not to renew my Stylist Agreement.

7. Rejection of Stylist Application. If my Stylist Application is not accepted, Feel Good Fashion will send me written notice within thirty (30) days of: (a) receipt of my first Consultant Application, or (b) the annual Renewal Date for subsequent Consultant Applications, and will refund any fee I submitted in connection with any application which is rejected. I understand that no fees other than the Kit fee and the annual renewal fee are required for me to be a Stylist.

8. Independent Contractor Relationship. I understand that as a FGF Consultant I will be an independent contractor to Feel Good Fashion and not an employee, franchisee, agent, partner or joint venture of, or licensor to Feel Good Fashion, even if I provide any services, information or materials to Feel Good Fashion which are outside the scope of my status as a FGF Consultant. I will not represent that I have any relationship with Feel Good Fashion other than that of an independent contractor. I understand that I am not authorized to, nor will I for any reason, incur any debt, expense or obligation for or on behalf of Feel Good Fashion. I understand I will have discretion in conducting my FGF business, provided I comply with the Terms & Conditions, Statement of Policies and Compensation Plan, as amended from time to time. As an independent contractor, I understand and acknowledge that I will be responsible for my own business activities and that I will have complete control over the operation of my business. I will be responsible for establishing my own goals and business methods including purchasing any business materials and tools that I determine are necessary for the operation of my business.

9. Personal Distribution Agreement. I acknowledge that the Consultant Agreement affords me, personally, the opportunity to buy and resell FGF products, and that accordingly, my rights and obligations under the Consultant Agreement are non-transferable and non-assignable. I understand I cannot use employees or subcontractors to solicit sales or take customer orders. My status as a Consultant will not confer any property rights in my downline organization, customer base or otherwise and I waive any and all property rights in or to my downline organization.
10. Commitment to Personal Sales. I understand that Feel Good Fashion is a direct selling company which distributes its products through an in-home party plan and person-to-person sales model and which allows me to buy and resell products to my customers for a profit. I understand that revenue is generated and commissions are paid on the retail sale of FGF products by FGF Consultants to non-Consultants. I understand that making sales to personal customers is a requirement of being a FGF Consultant, and I agree that I will actively develop personal customers, whether through Home Gatherings (personal sales parties) or otherwise. I agree to sell the majority of the FGF products I order to personal customers. I further agree not to sell through retail stores or other commercial outlets. However, I acknowledge that Feel Good Fashion reserves the right to market and sell Feel Good Fashion through its own outlet store(s), via the Internet or at public sales. I further understand I must make a minimum of $500.00 per quarter in sales.

11. Customer Orders. I will submit customer orders to Feel Good Fashion within five (5) business days after such orders are made by my customers. I will safeguard my customers' payments and dedicate the funds for payment of an order to Feel Good Fashion covering the customer orders. I understand that no order is effective or binding on Feel Good Fashion until accepted by Feel Good Fashion at its corporate office.

12. Territory. I understand and acknowledge that the rights granted under the Consultant Agreement do not constitute a franchise, that there is no exclusive territory granted, and that each FGF Consultant has the right to sell FGF products and recruit new Consultants anywhere in the U.S.A., but not outside the U.S.A., except as in accordance with policy relating to military installations, and unless otherwise announced by Feel Good Fashion.

13. Competitive Selling. During the term of the Consultant Agreement, I will not sell, or attempt to sell, any competing non-FGF products or services, including any in the same generic category as a FGF product or service (i.e.,other clothing lines), even if differing in cost, quality, design or format. I will not offer FGF products, services or the Consultant business opportunity to prospective or existing customers or Consultants in conjunction with any non-FGF program, opportunity, product or service. I will not use Feel Good Fashion's name, prestige or drawing power in support of any other events or activities without written permission of Feel Good Fashion.

14. Competitive Business Interests. During the term of my Consultant Agreement, I will not recruit, or attempt or facilitate recruitment of, any FGF Consultant or former Consultant for another network marketing business within the U.S.A. if: 1) that individual was ever in my downline organization, or 2) I met, developed a relationship with, or gained knowledge of the individual by virtue of our mutual participation as FGF Consultants.
15. Confidentiality. I understand that all Commission Reports are confidential and not to be shared when recruiting. Following the voluntary or involuntary cancellation of my Consultant Agreement, and for six months thereafter, Downline Activity Reports and other reports, lists and data compilations provided by Feel Good Fashion including, but not limited to, online or printed data compilations showing any part of the Feel Good Fashion distributor organization, are confidential and constitute proprietary information and business trade secrets belonging exclusively to Feel Good Fashion.

16. Confidential and Proprietary Information. As a consultant you agree not to directly or indirectly be an owner, founder, investor or upper-level management employee of a company engaged in the creation or distribution of any clothing line or any other goods or services similar to those provided by Feel Good Fashion.

17. Non-disclosure. I agree not to disclose the confidential and proprietary information of Feel Good Fashion, whether directly or indirectly, or whether explicitly or implicitly. I strictly agree not to use, or allow others to use, any confidential and proprietary information of Feel Good Fashion in any way and for any purpose other than to promote and further my FGF Consultant business. I understand and agree that but for my agreement not to disclose or improperly use the confidential and proprietary information of Feel Good Fashion, I would not be permitted to be a FGF Consultant or be provided with any reports containing confidential and proprietary information. Upon demand by Feel Good Fashion, I will return the original and all copies of any reports, lists or other documents containing confidential and proprietary information of Feel Good Fashion.

18. Copyrighted Designs and Limited License. All Feel Good Fashion designs are copyrighted by FGF Co. (whether or not a copyright notice appears in connection with the design). I understand that I have the right to reproduce a Feel Good Fashion logo with permission only from Feel Good Fashion headquarters.

19. Intellectual Property. I acknowledge that all copyrights, trademarks and other intellectual property rights associated with Feel Good Fashion designs, products, services, official literature and all print and electronic publications are and shall remain the property of Feel Good Fashion and/or FGF Co., and are protected under applicable U.S., Canadian and international laws. I understand that Feel Good Fashion and FGF Co. copyrighted materials and trademarks are to be used only as expressly permitted by Feel Good Fashion, and that any permission to use copyrighted materials and trademarks is immediately terminable at will by Feel Good Fashion or FGF Co., and will terminate upon cancellation of my Consultant Agreement. I agree to strictly comply with all applicable Feel Good Fashion policies and guidelines governing copyrights, trademarks and other intellectual property, including policies governing the use of Feel Good Fashion designs, artwork, literature, publications and forms, whether published in print, on the Internet, or in any other media.

20. Submissions. I agree that any artwork or written material I submit to Feel Good Fashion will become the exclusive property of Feel Good Fashion, and I hereby assign all rights in the foregoing to Feel Good Fashion. I understand and agree that I will not be compensated for any submissions or contributions except as specifically set forth in writing by Feel Good Fashion. I understand that Feel Good Fashion may use and modify any submissions in any manner deemed appropriate, without reference or attribution.

21. Status for Purposes of Tax and Employment Laws. BECAUSE I AM AN INDEPENDENT CONTRACTOR, I UNDERSTAND THAT I WILL NOT BE TREATED AS AN EMPLOYEE FOR FEDERAL OR STATE TAX PURPOSES, NOR FOR PURPOSES OF ANY OTHER APPLICABLE LAWS, including, without limitation, the Social Security Act, the Federal Unemployment Act, the Federal Insurance Contributions Act, any state industrial insurance act and/or federal income tax withholding, any state workers' compensation acts, nor any state or federal employment law. Accordingly, as an independent contractor and operator of my own business, I will be responsible for the payment of my own taxes including federal and state income or business taxes, self-employment taxes, and any other taxes relating to or arising from operation of my FGF business. Feel Good Fashion will issue to me a Form 1099 at the end of each calendar year, provided my compensation meets the minimum amount established by IRS Regulations.

22. Sales Tax. As the operator of my own business, I understand and agree that it is my responsibility to calculate and collect applicable sales and use taxes at the applicable tax rates for my sales to customers. I authorize Feel Good Fashion to make elections and agreements with state and local tax authorities to collect from me the applicable sales or use taxes due on my sales to customers and to remit the taxes to the proper governmental tax authorities on my behalf. I understand that such elections and agreements result in Feel Good Fashion charging and collecting tax based on the suggested retail selling prices of FGF products.

23. Warranties and Trade Practices. I understand that Feel Good Fashion makes no claims or warranties of any kind other than those specifically set forth in official Feel Good Fashion literature concerning, without limitation, FGF products, the FGF Consultant business opportunity or compensation. I agree not to make any claims or warranties regarding FGF products or the FGF Consultant business opportunity, including compensation or potential earnings, other than what is expressly set forth in official Feel Good Fashion literature. I also understand and agree that I will be responsible for complying with any and all laws or regulations relating to the operation of my business, and I agree not to engage in any deceptive or unlawful trade practice, as defined by federal, state or local law. I further agree not to do or communicate anything which would damage Feel Good Fashion.

24. Indemnification. I agree to indemnify Feel Good Fashion and its affiliates against any liability, claims, losses or costs which arise from any act or omission of mine. I acknowledge that as an independent contractor, I will be responsible for my own FGF business and for any liability or loss of whatever kind which may be incurred in connection with it.

25. Resignation. I may resign and cancel my Consultant Agreement at any time, for any reason, upon written notice to Feel Good Fashion.

26. Termination and Suspension. I understand that my violation of any provision of the Consultant Agreement, the Statement of Policies or the Compensation Plan, as amended from time to time, may result in remedial action by Feel Good Fashion, at its discretion, up to and including the termination of my Consultant Agreement and status as a FGF Consultant, which will result in the loss of all rights and privileges to participate in the FGF business opportunity, including the ability to buy and sell or promote FGF products, to have a downline organization, or to receive commissions or benefits of any kind, whether derived from my own sales or those of my downline organization.

27. Spouses I understand and acknowledge that a spouse of a FGF Consultant cannot be engaged in activities which are competitive with Feel Good Fashion.

28. Choice of Law and Venue. The Consultant Agreement shall be governed by the laws of the State of Utah. If the Consultant initiates a claim hereunder, the claim will be subject to mediation.

29. Amendments. I understand that Feel Good Fashion reserves the right to amend the Terms & Conditions, Statement of Policies and Compensation Plan at its sole and exclusive discretion. Amendments will be published on the official Feel Good Fashion website, in any official Feel Good Fashion literature or in any other reasonable written notice to FGF Consultants, and become effective 30 days after first publication, unless specified otherwise. I understand that voluntarily remaining a Consultant or accepting any commissions following any such publication constitutes my acceptance of any and all changes or amendments.

30. Entire Agreement. I acknowledge that the Terms & Conditions, the Statement of Policies and the Compensation Plan, as amended from time to time, constitute the entire Consultant Agreement between Feel Good Fashion and me, and that no promises, representations or agreements of any kind between Feel Good Fashion and me shall be binding on Feel Good Fashion unless recorded in writing and signed by an authorized representative of Feel Good Fashion. If any portion of the Consultant Agreement is found to be unenforceable or invalid, the Agreement shall be ineffective only to the extent found unenforceable or invalid, and all other provisions shall remain valid and enforceable. All powers, rights, and remedies given to Feel Good Fashion are cumulative, not exclusive, and are in addition to any other rights and remedies provided by law. The waiver by Feel Good Fashion at any time of any of its rights under the Consultant Agreement shall not be deemed a continuing waiver and shall not preclude the subsequent enforcement of any such right or any other right. Headings are for convenience of reference only and shall not be considered in determining the legal effect of any provision.
